These Terms of Service govern your use of SageOx services. By using SageOx, you agree to these terms.

Acceptance of Terms

By accessing or using SageOx, you agree to be bound by these Terms of Service and our Privacy Policy. If you don't agree, don't use the service.

Description of Service

SageOx is an AI coding context management platform. We provide tools that help development teams organize, share, and leverage context for AI coding assistants.

What we do:

  • Store and organize team context (ledgers, norms, architectural decisions)
  • Integrate with AI coding tools to inject relevant context
  • Provide analytics on agent behavior and team patterns
  • Enable team collaboration on shared knowledge

What we don't do:

  • Store your source code (it stays with your existing providers)
  • Access your cloud credentials
  • Train AI models on your data

User Accounts

Account Creation:

  • You must provide accurate information
  • You're responsible for account security
  • One person per account (shared accounts are not permitted)
  • Team/organization accounts require an authorized representative

Account Responsibilities:

  • Keep your credentials secure
  • Notify us immediately of unauthorized access
  • You're responsible for all activity under your account
  • You must be 18+ to create an account

Acceptable Use

You may use SageOx for legitimate software development purposes.

You agree not to:

  • Violate laws or regulations
  • Infringe intellectual property rights
  • Upload malicious code or content
  • Attempt to breach security measures
  • Abuse or overload our systems
  • Resell or redistribute the service without authorization

Intellectual Property

Your Data:

  • You retain all rights to your data
  • You grant us limited rights to process your data to provide the service
  • You can export or delete your data at any time

Our Service:

  • SageOx retains all rights to the platform, software, and documentation
  • Our trademarks and branding remain our property
  • You receive a limited, non-exclusive license to use the service

Data and Privacy

We process your data according to our Privacy Policy.

Key commitments:

  • We encrypt data at rest and in transit
  • We don't train AI models on your data
  • You control data retention and deletion
  • We comply with GDPR and applicable data protection laws

Payment and Billing

Paid Plans:

  • Subscription fees are charged according to your selected plan
  • Charges are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days notice

Free Plans:

  • Free tier access may be modified or discontinued with notice
  • We reserve the right to impose usage limits

Service Availability

Service Level:

  • We strive for high availability but don't guarantee uninterrupted service
  • Scheduled maintenance will be announced in advance when possible
  • Enterprise plans include uptime SLAs (see your agreement)

Modifications:

  • We may modify, suspend, or discontinue features with notice
  • We'll provide reasonable migration paths for breaking changes

Limitation of Liability

To the maximum extent permitted by law:

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. SAGEOX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SAGEOX SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Service interruptions or data loss
  • Third-party actions or content

Maximum Liability: Our total liability to you shall not exceed the fees you paid in the 12 months prior to the claim.

Indemnification

You agree to indemnify and hold SageOx harmless from claims arising from:

  • Your use of the service
  • Your violation of these terms
  • Your violation of any law or third-party rights
  • Content you submit to the service

Termination

By You:

  • You may cancel your account at any time
  • Cancellation takes effect at the end of your billing period
  • You can export your data before termination

By Us:

  • We may suspend or terminate accounts for terms violations
  • We may terminate free accounts with 30 days notice
  • We may terminate paid accounts for non-payment

Effect of Termination:

  • Your access to the service ends
  • Your data will be deleted according to our retention policy
  • Outstanding fees remain due

Governing Law

These terms are governed by the laws of Delaware, United States, without regard to conflict of law provisions.

Any disputes will be resolved through binding arbitration in Delaware, except that either party may seek injunctive relief in court for intellectual property or confidentiality matters.

Changes to Terms

We may update these terms from time to time. We'll notify you of material changes via email or service notification at least 30 days before they take effect.

Your continued use of SageOx after changes take effect constitutes acceptance of the updated terms.

General Provisions

Entire Agreement: These terms, together with our Privacy Policy and any plan-specific agreements, constitute the entire agreement between you and SageOx.

Severability: If any provision is found unenforceable, the remaining provisions continue in effect.

No Waiver: Our failure to enforce any right or provision doesn't constitute a waiver.

Assignment: You may not assign these terms without our consent. We may assign these terms to an acquirer or successor.
